www.shiloh-heritage.com (the "Website") is published by Leesha, a simplified joint stock company with a sole shareholder and a capital of €2,600, whose registered office is located at 49 rue Voltaire - 92300 Levallois-Perret, registered in the Paris Trade and Companies Register (RCS) under number 850 293 895, and whose intra-Community VAT number FR44850293895 (hereinafter "Leesha").
I. APPLICATION OF THE GENERAL TERMS AND CONDITIONS OF SALE
The general terms and conditions of sale (the "T&Cs") detailed below apply to all orders for products and services placed via the Website (the "Products") with Leesha by any person (the "Customer").
The Customer must read the T&Cs prior to any order (the "Order"), the T&Cs being available on the Website.
By these General Terms and Conditions of Sale, the Customer agrees not to make any purchase for resale, in respect of Article L 110-1 of the French Commercial Code.
Leesha reminds you that the Products are exclusively dedicated to the Customer's personal use, without any direct relationship with the Customer's professional activity. Leesha reserves the right to refuse the execution of the order.
The acquisition of a product through the Website implies the full and complete acceptance by the Customer of these General Terms and Conditions of Sale. These shall prevail over any other general or particular conditions of the Customer.
Any order of a Product offered on the Website implies the reading and acceptance of the General Terms and Conditions of Sale present on the Website.
As a reminder, in accordance with the provisions of Articles 1316 to 1316-4 of the French Civil Code, supplemented by Decree No. 2001-272 of 30 March 2001, adopted for the application of Article 1316-4 of the French Civil Code and relating to electronic signatures, Leesha specifies that the validation of the purchase order as specified in Article 6 below constitutes an electronic signature which has, between the Website and the Customer, the same value as a handwritten signature.
The purpose of the General Terms and Conditions of Sale is to define the rights and obligations of the Website and the Customer arising from the online sale of the Products offered on the Website.
Leesha reserves the right to adapt or modify these T&Cs at any time. The version of the T&Cs applicable to any sale being the one appearing online on the Website www.shiloh-heritage.com at the time of the Order.
II. INFORMATION ON THE WEBSITE AND ACCESSIBILITY OF THE WEBSITE
www.shiloh-heritage.com is an e-commerce Website owned and operated by Leesha.
The Website is accessible to all users of the Internet network on a 24/7 basis, unless it is interrupted by Leesha or its service providers, scheduled or not, for maintenance and/or security purposes or in the event of force majeure (as defined below). Leesha shall not be liable for any damage of any kind resulting from the unavailability of the Website.
Leesha does not warrant that the Website will be free of anomalies, errors or bugs, nor that the Website will operate without failure or interruption. In this regard, it may freely and at its sole discretion determine any period of unavailability of the Website or its content. Nor can Leesha be held responsible for problems with data transmission, connection, or network unavailability.
Leesha reserves the right to change the Website for technical or commercial reasons. When these modifications do not substantially and negatively alter the conditions of the provision of the services, the Customer may be informed of the modifications made, but his acceptance is not requested.
III. CREATING AN ACCOUNT ON THE WEBSITE
To be able to place an Order, the Customer must first register on the Website by creating an account containing the Customer's information (the "Account").
The Customer's registration on the Website is carried out via a specific form and is validated by Leesha after verification of the fields completed by the Customer. The Customer automatically receives an e-mail confirming the creation of an account.
When creating his or her Account, the Customer must ensure the accuracy and completeness of the data he or she provides. The Customer is required to always update his or her personal information. In the event of an error in the wording of the recipient' contact details, Leesha cannot be held responsible for the impossibility of delivering Products.
By creating an account on the Website, the Customer declares and warrants to Leesha that he or she is of legal age and has the legal capacity to enter into a contract.
Leesha may delete the Customer's Account at any time, for any reason, at its sole discretion.
IV. THE PRODUCTS
The Products offered for sale are those described on the Website on the day the Customer consults the Website, within the limits of available stocks. These indications are automatically updated in real time. However, a mistake in the update, regardless of its origin, does not engage Leesha's responsibility.
As such, Leesha cannot be held responsible for the cancellation of an Order for a Product due to the exhaustion of stocks.
The unavailability of the Product may be notified to the Customer in the following ways:
- On the product sheet of the Website, the Customer will be notified that the desired product is temporarily unavailable.
- After the order has been validated online, Leesha will send an e-mail the Customer.
In the event that payment has already been made, Leesha undertakes to contact the PayPal or Stripe payment service to subtract the price(s) of the unavailable Product(s) from the amount withdrawn from the Customer's bank account. The Products ordered remain the property of Leesha until the full price has been received.
Leesha takes the greatest care in the presentation and description of its Products to best satisfy the Customer's information. However, it is possible that errors may appear on the Website, which the Customer acknowledges and accepts.
Our Products may sometimes have certain variations in their colors or patterns : this is the normal outcome of Leesha’s use of a traditional manufacturing process.
Photographs that, in support of the text, serve to illustrate the products, do not fall within the scope of the contract. As such, if Leesha tries to represent as accurately as possible the Products whose photos are displayed on the Website, color variations may occur, particularly due to the technical limitations of the color rendering of computer equipment.
Leesha does not guarantee the accuracy or security of the information transmitted or obtained through the Website.
It is possible that the Customer may receive a part previously returned by another person as a result of an Order. It is specified that Leesha only accepts the return of intact and unworn Products, these two conditions being controlled before the returned Products are placed back into stock.
The SHILOH HERITAGE boot model featured on the Website has been registered with the INPI (registration number: 006 897 864). Consequently, any reproduction of this model by the Customer constitutes an act of counterfeiting that may result in criminal and civil proceedings.
V. DEFECTIVE PRODUCTS
If the Customer unfortunately receives a defective or damaged product during transport, he/she will be asked to contact Leesha's customer service as soon as possible within a maximum of 48 hours after delivery. The Customer must provide the order number that appears on the delivery note, his email address and his telephone number.
Leesha Customer Service will do its utmost to replace the item as soon as possible.
If the cardboard box is delivered damaged or ripped, the Customer must refuse the delivery and add a note on the transport order, mentioning that the "package is refused because the item was damaged during transport".
The Customer must inform Leesha Customer Service as soon as possible in order to send a complaint or make a claim to the carrier.
VI. ORDERS
The placing of Orders on the Website is subject to compliance with the procedure set up by Leesha on the Website, which includes successive steps leading to the confirmation of the Order.
To place an order, the Customer must click on the "Add to Cart" button. Each new addition to the Cart will be indicated by the appearance of a specific screen. At any time before the validation of his order, the Customer will be able to:
- obtain a summary of the Products he has selected and modify his order, by clicking on the "Cart" link,
- continue his selection of Products by clicking on "Continue my purchases",
- complete his selection of Products and confirm the purchase by clicking on "Order".
To order the Products he has thus chosen, the Customer will click on the "order" icon and validate the purchase process proposed to him.
A purchase order will appear on the screen, summarizing: the nature, quantity and price of the Products selected by the Customer, as well as the total amount of the order.
The Customer must accurately fill-in the requested form with the information necessary to identify him: his first name, surname, e-mail address, password, date of birth, delivery address, and billing address.
The Customer is informed and accepts that the entry of his personal identity details is proof of his identity and expresses his consent.
The validation by the Customer of his order on the Website implies the acceptance of the General Terms and Conditions of Sale, the Products purchased, their price and the associated costs.
The Customer will then be asked to pay for his order by entering his bank details.
When the Customer validates the payment of his order, a summary with the transaction number is displayed. This summary is also featured in the order confirmation e-mail sent to the Customer.
To this end, the Customer formally accepts Leesha's use of electronic mail to confirm the content of his Order.
An e-mail confirmation of the shipment is automatically sent to the Customer after his order has been placed. This email contains the parcel tracking link.
A confirmation email is automatically sent to the Customer if the order is cancelled.
A confirmation e-mail is automatically sent to the Customer if the order is refunded.
Pursuant to Article L. 134-2 of the French Consumer Code, when the amount of an order is equal to or greater than 120 euros, Leesha keeps the written record of the contract concluded between Leesha and the Customer by electronic means for a period running from the conclusion of the contract until the date of delivery of the goods and for a period of ten years from that date (in accordance with Decree 2005-137 of 16 February 2005).
VII. REFUSAL TO PROCESS AN ORDER
Leesha reserves the right to remove any Product featured on the Website at any time and to replace or modify any content or information on the Website. Despite Leesha's best efforts to meet the expectations of its customers, it may be necessary for Leesha to refuse to process an Order, including after having sent the Customer the confirmation email summarizing the Order.
Leesha shall not be liable to the Customer or any third party for any harmful consequences of the removal of a Product from the Website, or the replacement or modification of any content or information on this Website, or the refusal to process an Order after the sending of the confirmation email summarizing the Order.
Leesha also reserves the right to refuse or cancel an Order from a customer in case of dispute over the payment of a previous order.
VIII. PRICES AND PAYMENT TERMS
The prices of the Products are displayed in euros for Europe, in British pounds for the United Kingdom, and in U.S. dollars for the United States.
• VAT: Prices include VAT for orders delivered within Europe. For orders outside of Europe, VAT is not included in the displayed price.
• Customs fees and additional import taxes: For international orders outside the European Union, customs fees, import taxes and other local taxes, imposed by the authorities of the destination country, may apply. These charges are not included in the prices displayed on our website nor in the shipping fees. By placing an order on our website , the customer acknowledges and agrees that: - They are fully responsible for the payment of any import taxes, customs duties or administrative fees applied by their local authorities and are to be paid directly to the carrier upon delivery. - The carrier or customs authorities may require payment of these charges in order to release the parcel for delivery. - In the event that the customer refuses the parcel due to unwillingness to pay import taxes or customs duties: the return shipping costs (due to the parcel returned to the sender), as well as any import taxes/duties charged to the sender, will be deducted from the refund issued to the customer. The original shipping fees will not be refunded. Customers are advised to check with their local customs office prior to placing an order to avoid unexpected charges or refusal of delivery. • Price modifications: Leesha reserves the right to modify its prices at any time; however, Products will be billed based on the rates in effect at the time of the order, subject to availability.
• Payment methods: Products are payable in full at the time of order. The Client may pay via PayPal or the secure Stripe platform. Providing banking information constitutes authorization to debit the Client’s account.
Products remain the property of Leesha until full payment of their price, including any applicable fees and taxes, which the Client acknowledges and accepts.
The Customer's Order is only dispatched after Leesha has verified the payment method used by the Customer and has received the debit authorization.
Payment for purchases is made either via PayPal or via the secure platform of our payment service provider STRIPE.

The Customer expressly acknowledges that the communication of his credit card number to Leesha constitutes authorization to debit his Account up to the price of the Products ordered. If necessary, a notice of cancellation of the Order for non payment is sent by Leesha to the Customer to the email address provided by the Customer at the time of account creation on the Website.
The data recorded and stored by Leesha constitutes proof of the Order and all past sales. The data recorded by PayPal or STRIPE constitute proof of any financial transaction between the Customer and Leesha.
Leesha reserves the right to cancel any order that may present a risk of fraudulent use of credit cards.
IX. PARTIAL INVALIDITY
If one or more provisions of these T&Cs are held to be invalid or declared invalid pursuant to a law, regulation or following a final decision of a competent court, the other provisions shall retain their full force and scope.
X. NON-WAIVER
No tolerance, inaction or inertia of Leesha shall be construed as a waiver of its rights under the T&Cs.
XI. THE ENTIRE CONTRACT
These General Terms and Conditions of Sale and the order summary sent to the Customer form a contractual whole and constitute the entire contractual relationship between the Parties.
In the event of any contradiction between these documents, the General Terms and Conditions of Sale shall prevail.
XII. APPLICABLE LAW - COMPETENT JURISDICTION
These General Terms and Conditions of Sale and the contractual relationship between the Website and the Customer are subject to French law.
XIII. LIABILITY - FORCE MAJEURE
Leesha has a simple obligation of means for all steps of access and ordering on the Website (ordering process, delivery, customer service, etc.).
Leesha cannot be held liable for any inconvenience or damage inherent in the use of the Internet network, a breakdown in service, an external intrusion or the presence of computer viruses or any fact qualified as force majeure, in accordance with case law, including in particular a postal services strike, a shortage of stock at the manufacturer, the destruction or total loss of stock, the cessation of production of a model of which Leesha has not been informed and any other exceptional event.
XIV. COMMERCIAL OFFERS AND NEWSLETTERS
Leesha may send commercial offers to Customers by mail, email, SMS, telephone or via all the web pages hosted by Leesha or any of its subsidiaries on social networks, subject to prior acceptance.
At any time, the Customer may object, free of charge, to these marketing mailings by clicking on the "unsubscribe" link featured at the end of each email.
XV. INTERNATIONAL SHIPPING, CUSTOM DUTIES AND CUSTOMER RESPONSABILTY
For all international shipments, import duties and taxes are the sole responsibility of the Customer and are not included in the prices displayed on the Website.
From the moment the parcel’s availability is notified by the carrier (delivery notice, email, SMS, phone call, or any other notification method), the Customer is required to take possession of the order and to complete all necessary formalities, including the payment of duties and taxes.
If the Customer refuses to pay duties and taxes, or fails to collect the parcel, the order will be returned to the Shipper. All costs and taxes related to this return (including, without limitation, transportation, customs, and storage fees charged by the appointed carrier) will be fully deducted from the refund of the order.
The exact amount of these fees will be communicated to the Customer once the Shipper has received the corresponding invoice from the carrier. The refund timeline depends on the effective transmission of such charges by the carrier and cannot be attributed to the Shipper.
In case of loss, damage, or destruction of the parcel resulting from the Customer’s failure to collect it or refusal to complete customs clearance, the Customer shall remain solely responsible and no full refund may be claimed.
